Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and MR Innovations("Company," "we," "us") governing your access to and use of the MR Coder platform, including the website at mr-coder.io, the VS Code extension, the MR Coder (Router) service, the tunnel service, associated APIs, and all related documentation (collectively, the "Service").

By creating an account, installing the extension, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

MR Coder provides:

  • VS Code Extension — A multi-provider AI coding assistant supporting 9 AI backends (Claude, MR Coder, Kilo Code, OpenRouter, Ollama, HuggingFace, Qwen, OpenAI Codex, Google Gemini) with agentic tool use, session management, and project memory.
  • MR Coder (Router) — A unified AI model routing API that dispatches requests to multiple AI providers (Anthropic, OpenAI, Google, Qwen, and others) via an Anthropic-compatible REST endpoint.
  • Secure Tunnels — Cloudflare-powered encrypted tunnels that provide secure remote access to your local development environment via custom subdomains on mr-coder.io.
  • Web Dashboard — Account management, device linking, tunnel management, billing, and administrative tools accessible at mr-coder.io.
  • Web Remote Access — Multi-user authenticated browser-based access to VS Code instances via tunnels.

3. Account Registration

You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Immediately notifying us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Distribute malware, viruses, or any other malicious software.
  • Host, transmit, or make available content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to other users' accounts, devices, or data.
  • Use tunnels to expose services that process or store data in violation of applicable data protection laws (e.g., GDPR, HIPAA) without appropriate safeguards.
  • Resell, sublicense, or redistribute the Service or any tunnel capacity without written consent.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Use automated means (bots, scrapers) to access the Service except through our published APIs.
  • Reverse engineer, decompile, or disassemble any part of the Service.

5. Subscriptions, Billing & Payments

The Service offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually, as selected at purchase) through our payment processor.

  • Free tier.Includes limited tunnel capacity and features. Free-tier limitations may change with 30 days' notice.
  • Paid plans. Pricing, features, and limits for Basic, Pro, and Team plans are as displayed on the billing page at the time of purchase.
  • Payment. You authorize us to charge your selected payment method for recurring subscription fees. All fees are quoted and charged in USD unless otherwise stated.
  • Price changes.We may change subscription pricing with at least 30 days' prior notice. Price changes apply at the start of the next billing cycle.
  • Taxes. Fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes.

6. Cancellation & Refunds

You may cancel your subscription at any time from the dashboard settings page. Upon cancellation:

  • You retain access to paid features until the end of the current billing period.
  • Your account reverts to the free tier at the end of the billing period.
  • Tunnels exceeding free-tier limits are suspended (not deleted) and can be reactivated by resubscribing.

7. Free Trial

New accounts receive a 14-day free trial of paid features, including tunnel creation. Tunnels created during the trial are marked as trial tunnels. If you do not subscribe before the trial ends:

  • Trial tunnels are suspended and DNS records are removed.
  • Tunnel configurations are preserved for 90 days.
  • Subscribing within 90 days restores all trial tunnel configurations automatically.

8. Intellectual Property

Our IP. The Service, including its software, design, branding, documentation, and all underlying technology, is owned by MR Innovations and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your content. You retain all rights to your source code, files, and data. We do not claim any ownership of, or access to, your code or content. The Service is designed so that your source code and API credentials never leave your local machine — we cannot access them.

Feedback. If you provide suggestions or feedback about the Service, we may use it without obligation to you.

9. Third-Party Services

The Service integrates with third-party services including Cloudflare (tunnel infrastructure), AI model providers (Anthropic, OpenAI, Google, HuggingFace, etc.), and payment processors. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

AI model providers process your prompts and code according to their own data handling policies. When using the Ollama provider, all processing occurs locally and no data is sent to any third party.

10. Service Availability & SLA

We strive for high availability but do not guarantee uninterrupted service. The Service depends on Cloudflare's infrastructure, your local network connectivity, and third-party AI providers. We are not liable for downtime caused by:

  • Cloudflare infrastructure outages or maintenance.
  • Your local network or device issues.
  • Third-party AI provider outages or rate limiting.
  • Scheduled maintenance (announced at least 24 hours in advance).
  • Force majeure events.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MR INNOVATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to use the Service.
  • Any conduct or content of any third party on the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • AI model outputs, including incorrect, harmful, or unexpected code generated by any provider.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) fifty US dollars ($50).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated code and suggestions are provided for informational purposes. You are solely responsible for reviewing, testing, and validating any AI output before using it in production.

13. Indemnification

You agree to indemnify, defend, and hold harmless MR Innovations, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to:

  • Violation of these Terms or our Acceptable Use policy.
  • Fraudulent, abusive, or illegal activity.
  • Non-payment of fees after reasonable notice.
  • Extended inactivity (accounts inactive for 12+ months may be purged with 30 days' notice).

You may delete your account at any time from the dashboard settings page. Upon deletion, all associated data (devices, tunnels, DNS records) is permanently removed within 30 days.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or via a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which MR Innovations is incorporated, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
